Rosmar Packaging Group Acquires Gibraltar Packaging Group


Hastings, Nebraska, USA, and Quebec, Canada, 14 May 2008 -– Rosmar Packaging Group Inc. today announced that it had acquired the business of Gibraltar Packaging Group, Inc. pursuant to an agreement and plan of reorganization, merger, and dissolution.

Under the terms of the agreement, a newly-formed corporation owned by the current stockholders of Gibraltar, named RPG Merger Sub, Inc. became a wholly-owned subsidiary of Rosmar, the stockholders of such newly-formed corporation became entitled to receive $4.25 in cash, without interest, for each share they owned at the effective time of the merger, and Gibraltar was dissolved.

Duff & Phelps acted as financial advisor to the board of directors of Gibraltar and delivered a fairness opinion to the board. Greenberg Traurig, LLP acted as legal advisor to Gibraltar and Gowling Lafleur Henderson LLP and Torys LLP acted as legal advisors to Rosmar.
